Terms of Service

These Terms of Service ("Terms") govern your use of the Spuur mobile app, our website at spuur.app, and related services (the "Service"), provided by Spuur ("Spuur," "we," "us," or "our"). Spuur is operated by its founders in New Jersey, USA. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

1. Eligibility

You must be at least 13 years old to use Spuur, and old enough to form a binding contract where you live. Some venues and events listed in the Service have their own age requirements (for example, 21+ for certain bars or events); those are set and enforced by the venues, not by Spuur. Listing a place in the app does not mean you are permitted to enter it.

2. Your account

You're responsible for the accuracy of your account information, for keeping your login credentials secure, and for activity under your account. Choose a username and content that don't impersonate others or infringe anyone's rights. Notify us at hello@spuur.app if you suspect unauthorized use.

3. The Service and venue/event information

Spuur helps you discover local places and events and make plans with friends. We curate listings, but we do not own, operate, endorse, or guarantee the venues or events shown. Information such as hours, prices, availability, and age requirements may be inaccurate or out of date — always confirm directly with the venue before relying on it. Spuur is not responsible for your experiences at any third-party venue or event.

4. Your content and license to us

You retain ownership of the content you create or share through the Service (such as photos, posts, suggestions, and profile information) ("User Content"). By sharing User Content, you grant Spuur a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute that User Content for the purpose of operating, promoting, and improving the Service. This license ends when you delete the User Content or your account, except for content others have already shared or copies retained for legal or backup purposes.

You represent that you own or have the rights to your User Content and that it doesn't violate these Terms or anyone else's rights.

5. Acceptable use

You agree not to:

• post content that is unlawful, harassing, hateful, threatening, defamatory, obscene, sexually explicit, or otherwise objectionable;
• harass, abuse, impersonate, or harm other users;
• post content you don't have the rights to, or that infringes intellectual property or privacy rights;
• spam, scrape, reverse-engineer, or interfere with or overload the Service;
• attempt to gain unauthorized access to other accounts or our systems;
• use the Service for any illegal purpose or in violation of these Terms.

6. Content moderation, reporting, and removal

We have zero tolerance for objectionable content and abusive users. You can report content or block users in the app. We review reports and may remove content and suspend or terminate accounts that violate these Terms, at our discretion. We aim to act on reports of objectionable content promptly.

7. Third-party services and links

The Service may link to or rely on third-party services (such as map and directions apps, app stores, and venue websites). We're not responsible for those services, and your use of them is governed by their own terms and policies.

8. Intellectual property

The Service, including the Spuur name, logo, design, and software (excluding User Content), is owned by Spuur and protected by intellectual-property laws. We grant you a limited, personal, non-transferable license to use the Service. You may not copy, modify, or create derivative works of the Service except as allowed by law.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT LISTINGS WILL BE ACCURATE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPUUR AND ITS FOUNDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold Spuur harmless from claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or others' rights.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive termination (e.g. content license for already-shared content, disclaimers, limitation of liability, indemnification) will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in New Jersey will have exclusive jurisdiction over any disputes, except where prohibited by law.

14. Changes to these Terms

We may update these Terms from time to time. We'll post the updated version with a new effective date and, for material changes, provide additional notice. Continued use of the Service after changes means you accept the updated Terms.
